    The 12th South China Business & Law Forum: Seminar on the New Trends in Dispute Resolution in China’s Capital Market is Held in Shenzhen


    On June 21, 2024, on the occasion of the third anniversary of the establishment of China (Shenzhen) Securities Arbitration Centre, the first pilot institution in the field of securities and futures arbitration in China, a seminar on the “New Trends in Dispute Resolution in China’s Capital Markets” of the 12th South China Business & Law Forum was held at the SCIA Tower in Qianhai, Shenzhen. The event was hosted by the Shenzhen Court of International Arbitration (SCIA), and jointly organized by the China (Shenzhen) Securities Arbitration Centre and the Shenzhen Securities and Futures Industry Dispute Resolution Centre.


    This seminar focused on two main themes: “Equity Investment and Dispute Resolution under the New Company Law” and “Resolving Bond Disputes.” Representatives from the Supreme People’s Court, the China Securities Regulatory Commission and regional securities regulatory bureaus, the Shenzhen Stock Exchange, the Shanghai Stock Exchange, the China Capital Market Institute, the National Association of Financial Market Institutional Investors, the Securities Association of China, the China Futures Association, the China Association for Public Companies, the Asset Management Association of China, as well as corporate legal counsels, lawyers, and university scholars, totaling over 250 participants attended the event in person. More than 8,000 people watched the live stream online.


    Dr. Liu Xiaochun, President of the SCIA and an Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre, delivered the welcome address. He stated that the China (Shenzhen) Securities Arbitration Centre is the product of the pilot scheme in securities and futures industry with the great support from China Securities Regulatory Commission and the Ministry of Justice, it also serves as an innovative platform for the legal construction in a new development stage of China’s capital market. Disputes resolution in capital market should adhere to the principles of market-orientation, professionalism, and rule of law to stabilize the expectations of the parties and further promote the high-quality development of China’s capital market.


    Later, He Yin, Director of the China (Shenzhen) Securities Arbitration Centre, delivered a keynote speech on “Exploration and Practice of Securities Arbitration in China.” She reviewed the over 30-year journey of the SCIA in exploring securities arbitration, and shared the development of the China (Shenzhen) Securities Arbitration Centre over the past three years from the perspectives of dispute resolution mechanisms advancement and cooperation in capital market.


    At the opening of the event, the SCIA also held a ceremony for the “Top Ten Typical Cases” of the China (Shenzhen) Securities Arbitration Centre. 8 expert members of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre including Gao Xiqing, former Vice Chairman of the China Securities Regulatory Commission, Prof. Guo Li, Dean of Peking University Law School, Guo Xiaowen, Director of the SCIA Expert Advisory Committee, Jiao Jinhong, former Chief Lawyer and Director of the Legal Department of the China Securities Regulatory Commission, Anthony Neoh, SC, Vice Chairman of the SCIA, Former Chairman of the Hong Kong Securities and Futures Commission and former Chief Advisor of the China Securities Regulatory Commission, Dr. Liu Xiaochun, President of the SCIA, Prof. Shen Sibao, Chairman of the SCIA Council, Chairman of China International Economic and Trade Law Association, and Prof. Wu Zhipan, former Executive Vice-Chancellor and Professor of Peking University, jointly released the Top Ten Typical Cases.

    The first session of the panel discussion focused on the “Equity Investment and Dispute Resolution under the New Company Law”. It was moderated by Gao Xiqing, former Vice Chairman of the China Securities Regulatory Commission and an Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre.


    Zhao Liang, Partner at Green Pine Capital Partners and SCIA arbitrator, Peng Bing, Professor at Peking University Law School, Director of the Financial Law Research Center at Peking University and SCIA arbitrator, and Zhou Zheren, Managing Partner at the Grandall Law Firm (Shanghai) and SCIA arbitrator, shared their insights on topics including risks in equity investment, mergers and acquisitions of listed companies, and dispute resolution related to company matters. Guo Xiaowen, Director of the SCIA Expert Advisory Committee and an Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre; Guo Li, Professor and Dean of the Law School at Peking University, and an Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre; and Ouyang Zhenyuan, President of the King & Wood Mallesons Legal Research Institute and SCIA arbitrator, engaged and commented in the discussion.


    The second theme of the panel discussion was “Resolving Bond Disputes”, moderated by Jiao Jinhong, former Chief Lawyer and Director of the Legal Department of the China Securities Regulatory Commission and an Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre. Tao Xiuming, Partner at JunZeJun Law Offices and SCIA arbitrator, Prof. Hong Yanrong, Researcher and Doctoral Supervisor at Peking University Law School and SCIA arbitrator, and Zhou Daixi, Deputy General Manager of Orient Securities Asset Management Co., Ltd., Co-president of the Asset Securitization Business Professional Committee of Asset Management Association of China (AMAC) and SCIA arbitrator, shared their insights on topics such as diversified dispute resolution of local government bonds/urban investment bonds, liability of bond misrepresentation, public offering REITs and real estate securitization.


    Anthony Neoh, SC, Vice Chairman of the SCIA, Expert Member of International Commercial Expert Committee of the Supreme People’s Court, Former Chairman of the Hong Kong Securities and Futures Commission and former Chief Advisor of the China Securities Regulatory Commission, and Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre, Prof. Wu Zhipan, former Executive Vice-Chancellor and Professor of Peking University and Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre; and Chen Yong, General Counsel of Guosen Securities Co., Ltd., Executive Chairman of the 12th South China Business & Law Forum Committee and SCIA arbitrator, commented and exchanged ideas in this session.


    At the closing ceremony, Prof. Shen Sibao, Chairman of the SCIA Council, Chairman of China International Economic and Trade Law Association, Expert Member of International Commercial Expert Committee of the Supreme People’s Court, and Expert Member of the Professional Advisory Committee of the China (Shenzhen) Securities Arbitration Centre, summarized the seminar. Prof. Shen Sibao highlighted that the development of securities arbitration requires coordination with the judiciary and regulatory bodies, and progress in tandem with the capital market. He expressed his hope that the China (Shenzhen) Securities Arbitration Centre will fully incorporate the feedback from this event, and continue to be pragmatic and innovative in future practice. He also expected that the China (Shenzhen) Securities Arbitration Centre to conduct more research and explore ways to provide the most professional and competitive securities arbitration services.
